This Spare Parts Mall User Agreement (hereinafter the “Agreement”) is concluded between you (the “User”: any natural person or legal entity that registers for, accesses, uses or browses Spare Parts Mall) and Beijing MecKey Engineering Co. (the Platform Operator) and its partner entities, governing your use of the Spare Parts Mall website (the “Site”) and all associated products, programmes and services. Each of Spare Parts Mall and its partner entities bears separate and independent liability towards you in respect of your rights and obligations arising out of your use of services on the Site. Nothing in this Agreement shall create any guarantee, joint-and-several or shared liability among Spare Parts Mall and its partner entities.

Spare Parts Mall draws your attention to read this Agreement thoroughly. Your acceptance of this Agreement constitutes your voluntary agreement to be legally bound by all its terms. You are advised to pay particular attention to clauses limiting or excluding liability, and provisions concerning governing law and dispute resolution. Should you accept this Agreement and complete registration, you confirm that you have read, understood and accepted the full terms hereof and shall be recognised as a registered user of Spare Parts Mall. If you object to any part of this Agreement, you shall discontinue the registration process forthwith.

The platform operator of Spare Parts Mall is Beijing MecKey Engineering Co.. For self-operated goods, the selling entity shall be the entity disclosed in the certification documents published on relevant Spare Parts Mall webpages (including without limitation Beijing MecKey Engineering Co.. The platform operator may be replaced in connection with business restructuring. The successor operator shall assume all rights and obligations under this Agreement and continue providing services to you. Such replacement shall not impair any of your rights arising under this Agreement.

The Spare Parts Mall Privacy Policy, Account Usage Agreement and Contract Terms form an integral part of this Agreement and shall have the same legal force as this Agreement. Given the fast-evolving nature of internet-related business, the terms of this Agreement may not exhaust all rights and obligations between you and Spare Parts Mall or cater to future-generated requirements. All legal statements, Privacy Policy, platform regulations, notices, announcements, operating guidelines and help documents issued by Spare Parts Mall shall be supplementary terms to this Agreement, binding and inseparable from this Agreement with equal legal effect. Your continued use of platform services shall constitute your acceptance of these supplementary terms.

1.1 【After-Sales Service】 Spare Parts Mall shall provide after-sales services for products sold via the platform. After-sales arrangements differ by product type. You are required to carefully review all notices and disclosures shown on relevant product pages prior to purchase.

1.2 【Government & Enterprise Group Purchase After-Sales】 You acknowledge and agree that where you place orders on behalf of government or enterprise group-procurement entities, such goods are not supplied to end consumers, and the seven-day unconditional return-without-reason policy shall not apply. After-sales terms shall be governed by the disclosures published on the corresponding webpage.

2.1 【Export Control】 Spare Parts Mall reserves the right to decline shipment of controlled or prohibited items to any country, territory, entity or individual listed on sanctions lists administered by the United Nations, United States, European Union or other competent authorities. You shall not deploy any products manufactured or supplied by Spare Parts Mall for military applications, terrorist-supporting activities, or any use linked to nuclear facilities, biochemical weapons, missiles or weapons of mass destruction. You shall abide by all applicable export-control and re-export-control laws of the United States and other jurisdictions applicable to products, software, technologies and services. If you are subject to U.S. sanctions, or subject to sanctions aligned with U.S. statutory requirements imposed by the government of the jurisdiction from which you access our services, your access to Spare Parts Mall services may be suspended or denied.

2.2 【Services Not Provided by Spare Parts Mall】 Spare Parts Mall will not proactively offer paid services by telephone or other means unless you have submitted an explicit service request. If you accept any such unsolicited services, Spare Parts Mall disclaims all liability for such services.

2.3 【Force Majeure and Third-Party Causes】 Spare Parts Mall shall perform its obligations as required by applicable law. Nevertheless, Spare Parts Mall shall not be held liable for contractual breach resulting from performance impediments, defective performance, delayed performance or variation of performance scope arising from the circumstances set forth below:

2.3.1 Force majeure events such as natural disasters, strikes, riots, war, acts of governmental authority, and judicial or administrative orders;

2.3.2 Service interruption, disruption or failure to meet your requirements caused by public-service failures such as power-supply outages and communication-network breakdowns; as well as hacking incidents, computer-virus intrusions, filtering of unlawful or harassing content, governmental regulatory measures, and other network-, technical-, communication-line- or information-security-related events;

2.3.3 Routine or emergency system & equipment maintenance, system-equipment malfunctions, network- and data-security-related incidents, provided that Spare Parts Mall has exercised good-faith management obligations.

1.1 Spare Parts Mall shall collect, use and process your personal information pursuant to the Privacy Policy. Under applicable law, you are entitled to access, rectify and erase your personal data, as well as terminate your service or account. Please submit your request to product@meckey.com. Please refer to the Privacy Policy for detailed procedures.

1.2 Upon fulfilment of the collection purpose, Spare Parts Mall shall cease retaining relevant data or implement de-identification and anonymization measures. In compliance with the E-Commerce Law of the People’s Republic of China, transaction records shall be retained for three years following transaction completion. No further processing of such transaction data shall take place, save where required by applicable laws or administrative rules.

1.3 We shall not share your personal information with any company, organisation or individual other than Spare Parts Mall, its affiliates and relevant-service-providing entities, except under the following circumstances:

1.3.1 With your prior explicit consent or authorization;

1.3.2 Where disclosure is required by applicable laws, legal procedures, or mandatory administrative or judicial requirements, including without limitation cases where competent authorities demand e-commerce data (which may contain personal information) from Spare Parts Mall under the E-Commerce Law of the People’s Republic of China.

1.4 WeChat Mini Program

Under certain scenarios, you may log into the Spare Parts Mall WeChat Mini Program using your existing WeChat account. When you log in via such account and link it to your Spare Parts Mall account, Spare Parts Mall will obtain certain platform-sourced information about you. By completing such operations, you warrant your consent for Spare Parts Mall to obtain such information from those portals and social-media platforms.

You represent and warrant that you hold relevant legal rights to the content you post. Otherwise, Spare Parts Mall may delete or restrict access to your posted content in compliance with applicable law and this Agreement.

You shall ensure that the information you post does not contain any of the following:

3.1 Content that violates the prohibitive provisions of national laws and regulations;

3.2 Political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terrorism, or incitement to commit criminal acts;

3.3 Fraudulent, false, inaccurate, or misleading content;

3.4 Content that infringes the intellectual property rights of others or involves the trade secrets or other proprietary rights of a third party;

3.5 Content that insults, defames, intimidates, or involves the privacy of others, or otherwise infringes the legitimate rights and interests of others;

3.6 Viruses, trojans, web crawlers, or other malicious software or code that may damage, tamper with, delete, or affect the normal operation of any Spare Parts Mall platform system, or that is designed to obtain Spare Parts Mall platform data or other users’ data or personal information without authorization;

3.7 Other content that violates the public interest or public morality, or that is not suitable for posting on the Spare Parts Mall platform under the relevant Spare Parts Mall platform agreements and rules.

With respect to non-personal content (text, images, video, audio and other materials) you submit, post or generate through Spare Parts Mall services, you irrevocably grant Spare Parts Mall and its affiliates a worldwide, exclusive, royalty-free licence for the full statutory term of protection. This licence includes the right to grant sub-licences to third-party entities, and to pursue infringement investigations and bring legal proceedings in Spare Parts Mall’s own name. You consent that Spare Parts Mall and its affiliates may store, use, reproduce, alter, publish, exhibit, translate, distribute and create derivative works based on such non-personal content, and integrate such content into other works using any existing or future-developed format, medium or technology.

For the purpose of delivering Spare Parts Mall and associated services, you authorise Spare Parts Mall to share data generated or provided by you during account registration and platform use with cooperating service providers, and to obtain relevant data you provided when registering or using those third-party services.

You agree that Spare Parts Mall may send you promotional and advertising communications (including advertising-linked content) via email, SMS, telephone or other channels.

Spare Parts Mall reserves the right to amend this Agreement and its supplementary terms from time to time to reflect updates in applicable laws, maintain orderly transactions and safeguard consumer interests. Spare Parts Mall shall notify you of such amendments (the “Amendments”) using reasonable and legally compliant notification channels. Should you disagree with the effective Amendments, you must discontinue your use of Spare Parts Mall platform services upon their effective date, and such Amendments shall not apply to you. Continued use of the platform following the effective date of Amendments shall be deemed your acceptance thereof.

Your use of your Spare Parts Mall account and platform services shall comply with the intellectual-property clauses set forth in the Spare Parts Mall Account Use Agreemen and other relevant agreements.

You shall retain ownership of all intellectual-property rights to original texts, images, videos, software, performances and other content you publish or upload through our platform. Your act of posting or uploading constitutes your grant to Spare Parts Mall of a non-exclusive, perpetual, irrevocable licence to exercise all intellectual-property rights over such content, including the right to grant sub-licences to third parties.

Unless you obtain Spare Parts Mall’s prior written consent, you are not granted any right to use Spare Parts Mall’s intellectual-property assets. You represent, warrant and undertake to respect Spare Parts Mall’s intellectual-property rights. You shall not, in your own name or by inducing any third party, nor consent to or permit any third party, for marketing, advertising, promotional or other purposes, in any jurisdiction and in any manner, apply for any trademark, domain name, wireless website, internet-search term, trade name or service mark similar to those of Spare Parts Mall or its affiliates. Should the foregoing occur, you shall transfer all relevant rights to Spare Parts Mall at your own expense. You represent, warrant and undertake that you will not use the following names (including but not limited to “MecKey”, “MecKey Engineering”, “Spare Parts Mall”, word marks, logos or graphic designs of the aforesaid brands) as part of any enterprise, merchant, service or product name. Neither shall you use Spare Parts Mall trademarks or confusingly-similar trademarks. If any breach of this clause causes losses to Spare Parts Mall, you shall bear all resulting losses.

Content you publish on Spare Parts Mall shall not infringe upon any third-party intellectual-property rights. Without prior written consent from the relevant rights-holder, you must not upload, publish, modify, transmit or reproduce any copyrighted materials, trademarks or other third-party proprietary information in any form. > If you believe goods or other content published on Spare Parts Mall infringes your intellectual-property rights, please comply with the intellectual-property protection rules and procedures published on the platform.
